It is no secret that current accounts are necessary for organizations to carry out non-cash transactions. The procedure for opening bank accounts is regulated by Bank of Russia Instruction No. 28-I dated September 14, 2006.

In accordance with this instruction, any bank account (whether current or on a deposit) can be opened only on the basis of an agreement concluded with the client and all necessary documents submitted by him to the bank, as determined by the legislation of the Russian Federation.

So, legal entities (LLC, CJSC, OJSC) to open a current account must provide the bank with the following package of required documents:

  • constituent documents;
  • certificate of registration of a legal entity;
  • certificate of registration with the tax authority;
  • a card with sample signatures and a seal imprint (form No. 0401026 according to OKUD);
  • documents confirming the authority of the persons indicated in the card to manage funds in the bank account (orders of appointment, powers of attorney, protocol (decision) or extract from it, etc.), as well as copies of passports of authorized persons;
  • application for opening a current account (form No. 0401025 according to OKUD). The application form is provided by the bank, since there is no standardized form.
  • Form of a legal entity. As in the case of an application, the application form is developed individually by each bank.

The above list is standard and minimally necessary. In some cases, determined by the internal regulations and instructions of the bank, the following documents may also be required from the client:

  • extract from the Register of shareholders of the company (for joint-stock companies);
  • a certificate (information letter) from statistical authorities on the assignment of codes according to all-Russian classifiers;
  • the bank also has the right to request licenses (permits) from the organization (which are issued to it for carrying out licensed activities), but only if these licenses are directly related to the client’s legal capacity to enter into a bank account agreement of the appropriate type;
  • if a current account for an organization is opened by a trusted person, it is necessary to provide the appropriate power of attorney authorizing him to carry out the necessary actions;
  • a document confirming the location of the management body at the actual address (certificate of ownership, lease agreement, sublease agreement, etc.).

After the client submits all the necessary documents, the bank checks them and identifies the client in accordance with the legislation of the Russian Federation. Usually this process takes several days, after which the bank makes a decision whether to enter into an agreement with the client or not.

A current account is considered open from the moment the bank makes a corresponding entry in the open account registration book.

Who should I send notifications and messages to?

In accordance with the legislation of the Russian Federation, the fact of opening a current account by an organization or individual entrepreneur must be recorded in the tax authority (clause 2 of Article 23 of the Tax Code of the Russian Federation) at the place of registration of the legal entity or at the place of residence of the individual entrepreneur, and from January 1, 2010, if the organization or the individual entrepreneur is a payer of insurance premiums, also in the territorial branch of the Pension Fund and the Social Insurance Fund (subclause 1, clause 3, article 28 of the Federal Law of July 24, 2009 No. 212-FZ).

Obligation to notify the tax authority Opening a current account is the responsibility of both the bank and the taxpayer. According to the Tax Code of the Russian Federation, the bank must send a corresponding notification to the client’s tax office within five days from the date of account registration. In turn, the organization (or individual entrepreneur) is obliged to notify its tax office in writing within seven days (this period is recommended to be counted from the moment of signing the agreement with the bank) by sending a message about opening an account in form No. S-09-1.

Notification of control authorities regarding payment of insurance premiums is carried out by the payers of these contributions at their location no later than seven days from the date of opening the account, by submitting a written message in the established form.

For settlement and cash services, each legal entity opens a bank account. This is a fundamental point in the relationship between the bank and its client. In paragraph 1 of Art. 846 of the Civil Code of the Russian Federation states that a bank account is opened for a client on the basis of a bank account agreement.

To open an account, you must provide the following documents to the bank:

  • application for opening an account in form 0401025;
  • document on state registration of a legal entity in accordance with current legislation (notarized copy);
  • constituent documents (notarized copies);
  • certificate of registration with the tax authority (original copy);
  • card with sample signatures and seal impressions of form 0401026 (2 copies);
  • a document confirming the authority of officials to manage the account. This document is provided only in cases where the authorities of officials are not certified by a notary in the cards with sample signatures.

It should be noted that the Application for opening a current account is filled out by the client and signed by the manager and chief accountant. If there is no position of chief accountant, the application is signed ONLY by the head of the organization. The date the application was filled out is indicated. The signatures of officials and the seal on the client’s application for opening an account must correspond to the sample signatures and the seal imprint on the card with sample signatures.

The certificate of state registration of a legal entity is provided in the form of a notarized copy. Religious associations provide a certificate of registration issued by the Ministry of Justice of the Russian Federation or its bodies. The same applies to Trade Unions and their associations. Public associations, as well as bar associations, provide a certificate of state registration issued by the justice authorities of the relevant constituent entities of the Russian Federation.

The certificate of registration with the tax authority is provided to the bank in its original form. The bank makes a photocopy, it is certified by the employee who receives documents from the client to open a current account. It is acceptable to provide a notarized copy of the Certificate.

When filling out a card according to form 0401026, it indicates the persons who have the right of first and second signature. A sample signature of the manager must be included in the card.

The right of first signature belongs to the head of the enterprise, as well as to officials authorized to manage the account. The right of first signature cannot be granted to the chief accountant and other persons having the right of second signature.

The right of the second signature belongs to the chief accountant. If the company does not provide such a position or has a different name, then the client must make a note about this on the card. If the card does not contain the signature of the chief accountant or the person entrusted with the accounting functions, an order for the enterprise is submitted to the bank to assign accounting responsibilities to the manager personally or another person.

The card in form 0401026 MUST include a sample of the seal assigned to the legal entity or its separate structural divisions.

The complete package of documents is transferred to the bank's security service, which conducts an inspection, after which the legal service prepares a bank account agreement; standard forms of bank account agreements are usually used.

When the organizational and legal form of a legal entity changes or in connection with reorganization (merger, accession, division, separation, transformation), a new account is opened for the client with the submission to the bank of a full set of documents necessary to open an account.

When changing the name of a legal entity that is not caused by reorganization, as well as when changing the subordination of a branch or representative office, the bank is provided only with client statements notifying about the changes, documents confirming the registration of changes in the name of the enterprise and a new card with sample signatures and seal imprints. The client account number in this case may not change.

After opening a current account, any legal entity is required to provide the tax authority with a “Notification of opening (closing) of a bank account.”

In accordance with the current norms of Russian legislation, both individual entrepreneurs and legal entities must submit documents for verification to a bank representative office in order to open a new account for making payments. After filling out information about the client, you need to write the text of the appeal. The legal force of the application will not occur if the author does not indicate the date and signature. When a client is given an empty form to fill out information, you will notice that there is a special column in which the accountant must sign. Sometimes a bank may give its clients a questionnaire rather than an application to open a bank account. The main difference from the common form 0401025 is the presence of more questions. The questionnaire is an attachment, which will then be attached to the cash settlement agreement. With its help, the client can specify additional options not provided for in the contract. Eg:

  • the amount of commission and expenses associated with banking services;
  • regular receipt of SMS notifications informing about recently performed operations;
  • regular receipt of notifications by email;
  • connection of mobile payment and Internet banking services;

What to do next

    The card in form 0401026 MUST include a sample of the seal assigned to the legal entity or its separate structural divisions.

    The complete package of documents is transferred to the bank's security service, which conducts an inspection, after which the legal service prepares a bank account agreement; standard forms of bank account agreements are usually used.

    When the organizational and legal form of a legal entity changes or in connection with reorganization (merger, accession, division, separation, transformation), a new account is opened for the client with the submission to the bank of a full set of documents necessary to open an account.

    When changing the name of a legal entity that is not caused by reorganization, as well as when changing the subordination of a branch or representative office, the bank is provided only with client statements notifying about the changes, documents confirming the registration of changes in the name of the enterprise and a new card with sample signatures and seal imprints. The client account number in this case may not change.

    After opening a current account, any legal entity is required to provide the tax authority with a “Notification of opening (closing) of a bank account.”

    As a rule, the application contains a special column for the signature of the accountant who will have access to the account. If the applicant does not have a full-time accountant, only the director (the individual entrepreneur himself) signs the document in his own column.

    Instead of an application or in addition to it, the bank may invite the client to fill out a questionnaire that contains many more questions than the standard form 0401025.

    The application form acts as an annex to the future cash settlement agreement; it presents the client with a choice of additional options that are not specified in the agreement. For example, these could be:

    • commission options and cost of banking services;
    • informing about transactions via SMS or e-mail;
    • connecting online banking and mobile banking.

    After the application is submitted, verified and approved, the bank will invite a new client to enter into a cash settlement service agreement.
